These terms govern your use of Tessera (the "Software"), a local-first desktop application that runs on your own computer. By installing or using Tessera, you agree to these Terms. If you do not agree, do not use the Software. In these Terms, "we", "us", and "Tessera" refer to the operator of the Software, and "you" refers to you, the user.
You must be at least 18 years old, or the age of majority where you live, and able to enter into a binding contract. You may not use the Software if you are barred from doing so under applicable law.
Tessera is a local-first application that lets you run AI agents on your own machine. Your conversations, files, and credentials are stored on your device; the Software connects to third-party services only as described in our Privacy Policy. The Software is currently offered as a closed beta — see Section 4.
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for your own lawful purposes. We and our licensors retain all rights not expressly granted.
The Software is provided as an early, experimental beta. You acknowledge and agree that:
"Inputs" are the prompts, files, and data you provide to the Software. "Outputs" are the responses the AI generates. You retain all rights you have in your Inputs, and, as between you and us, we assign to you all of our right, title, and interest (if any) in the Outputs you generate. You are responsible for your Inputs and Outputs and for ensuring you have the rights to use them.
Because of how AI works, Outputs may be inaccurate, incomplete, or offensive, and may not be unique — other users may receive similar Outputs. You should not rely on any Output as a sole source of truth, and you must evaluate Outputs for accuracy and suitability before relying on them. Outputs are not professional advice (legal, medical, financial, or otherwise).
"Actions" means anything an agent does on your machine or your connected accounts at your direction — for example reading, writing, or deleting files, running commands, or sending email or messages through accounts you connect. You authorize the Software to perform the Actions you enable.
Actions may be irreversible and may not operate as you intended. You are solely responsible for the Actions you enable and for their consequences, including reviewing and approving them, maintaining backups, and putting appropriate safeguards, testing, and monitoring in place. To the maximum extent permitted by law, we are not liable for any Action taken by an agent on your machine or accounts.
The Software connects to third parties you choose — AI providers (such as Anthropic, OpenAI, Google, or OpenRouter), Auth0 for sign-in, accounts you connect such as Gmail or Slack (brokered through Composio), and others. You provide your own API keys and credentials for these services.
You will not, and will not permit anyone else to:
The beta is currently free to use. If we introduce paid plans or features in the future, we will present their terms and pricing before you incur any charge.
If you send us feedback, suggestions, or ideas about the Software, you agree that we may use them for any purpose without restriction, attribution, or compensation to you.
We and our licensors own all right, title, and interest, including all intellectual-property rights, in and to the Software. These Terms grant you a license to use the Software, not a sale. You retain ownership of your Inputs and the Outputs assigned to you under Section 5.
Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Tessera is local-first: your product data stays on your device, and we do not run servers that store it.
These Terms apply while you use the Software. You may stop using it and uninstall it at any time. We may suspend or end your license, or discontinue the beta, at any time — including if you breach these Terms. Sections that by their nature should survive termination (including Sections 5–8 and 11–18) will survive.
The Software is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be uninterrupted, timely, secure, or error-free, or that any AI Output or Action will be accurate or suitable for any purpose.
To the maximum extent permitted by law, we and our operator and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of the Software — including any Action taken by an agent on your machine or accounts — even if advised of the possibility of such damages and even if a remedy fails of its essential purpose. To the maximum extent permitted by law, our total liability for all claims will not exceed the greater of (a) the amount you paid us for the Software in the 12 months before the claim, or (b) US $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, including for gross negligence, willful misconduct, or fraud.
You agree to indemnify and hold harmless Tessera and its operator from any claims, damages, losses, or costs (including reasonable legal fees) arising from your use of the Software, your Inputs, Outputs, or Actions, or your violation of these Terms or the rights of any third party.
You may not use the Software if you are located in a country subject to a US government embargo, or if you are on any US government restricted-party list, and you agree to comply with all applicable export-control and sanctions laws.
These Terms are governed by the laws applicable at the operator's principal place of business, without regard to conflict-of-laws rules. The courts there will have jurisdiction over any dispute, except where applicable law gives you the right to bring a claim elsewhere.
We may update these Terms. We will change the effective date above and, for material changes, provide reasonable notice. Continued use of the Software after a change takes effect means you accept the updated Terms.
